DebutDay Terms of Use

This Agreement governs your purchase and use, in any manner, of all DebutDay website services (the "Services") for you ("Customer") and accepted by DebutDay Limited ("DebutDay") and describes the terms and conditions that apply to such purchase and use of the Services. You must register and accept the terms of this Agreement in order to use the Services.

BY CLICKING ON THE “I AGREE TO THE TERMS OF USE” CHECKBOX, AND REGISTERING FOR AND USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS CONTAINED HEREIN AS WELL AS ALL POLICIES AND GUIDELINES INCORPORATED BY REFERENCE. DebutDay reserves the right to change or modify any of the terms and conditions contained in this Agreement and any policy or guideline incorporated by reference at any time and from time to time in its sole discretion, and to determine whether and when any such changes apply to both existing and future customers.

The parties agree to the following, which shall apply throughout the term of this agreement:

1. PRICING
A. All prices provided by DebutDay to its Customers are in GB Pounds. Customer shall be responsible for the payment of all federal, state, and local sales, use, value added, excise, duty and any other taxes assessed with respect to the Services.

B. DebutDay Services are offered on a subscription basis via PayPal. Customers can terminate their subscriptions at any time via PayPal, though any time left which has been paid for in the current cycle will not be subject to any refund or rebate whatsoever. All subscription orders will be confirmed via the PayPal email receipt service.

C. The Customer is responsible for providing DebutDay with the proper and correct Billing and Payment Information. In addition, the Customer is responsible for keeping all contact information, especially email addresses, up to date and current. DebutDay conducts all communication with customers via email, including support, billing and network administration communication. Therefore, a current and active email address for all pertinent parties is absolutely essential.

2. LIMITATION OF DEBUTDAY’S OBLIGATIONS AND LIABILITY
A. DebutDay will utilise its best efforts to maintain acceptable performance of services contracted for, but DebutDay makes absolutely no warranties whatsoever, express or implied, including warranty of merchantability or fitness for a particular purpose. DebutDay cannot guarantee continuous service, service at any particular time, or integrity of data stored or transmitted via its system or via the Internet. DebutDay will not be liable for the inadvertent disclosure of, or corruption or erasure of, data transmitted or received or stored on its system. DebutDay shall not be liable to Customer for any claims or damages which may be suffered by Customer, including, but not limited to, losses or damages of any and every nature, resulting from the loss of data, inability to access the Internet or inability to transmit or receive information, caused by, or resulting from, delays, non-deliveries or service interruptions whether or not caused by the fault or negligence of DebutDay.

B. DebutDay may discontinue servicing any Customer project or Customer account or may impose conditions as a prerequisite for continuing to service any Customer project or Customer account. DebutDay agrees to provide Customer with reasonable notice via email or fax of any such intent to discontinue or impose conditions unless it is determined that such notice would cause harm to DebutDay. The following subjects are specifically not allowed by DebutDay and will result in IMMEDIATE account termination: explicit or lewd or obscene adult content, content conveying or inciting hate , content advertising gambling web sites; content encouraging or advertising undirected bulk email delivery (spamming), or any entries promoting or participating in illegal activities.

C. Customer shall defend, indemnify and hold DebutDay, its officers, directors, shareholders, agents, employees, successors and assigns harmless from and against any and all claims, demands, actions, liability, costs, damages or expenses, including reasonable attorney's fees and other legal costs, arising from any lawsuit, claim, proceeding, settlement or other action which may be brought or maintained by virtue of or in connection with this Agreement or the providing of the services outlined in this Agreement; provided, however, that this obligation shall apply only to the extent that the party seeking indemnification shall not be at fault or found liable with respect to or in connection with the lawsuit, claim, proceeding, settlement or other action in which such party is seeking indemnification under this Agreement.

D. DebutDay makes regular backups of data but it is not guaranteed that these backups will be available thereby preventing complete or acceptable restorations.

E. DebutDay is not responsible for any content uploaded by Customers in relation to, including but not limited to, intellectual property, copyright, or patents. Customers upload their content at their own risk and are expected to have carried out due diligence to ensure no copyright infringements are being made. Customers are also responsible for the pre-scanning of any uploaded text, documents, images, or otherwise for viruses, Trojans or variants. Any such infection caused by the Customer may result in immediate account and project termination and perusing of recovery of any costs DebutDay may be subsequently liable for.

F. DebutDay is not responsible for any loss, damage or otherwise to the Customer resulting from the incorrect operation of the DebutDay website, be it from problems relating to the Internet, DebutDay’s hosting service provider, application coding anomalies or database anomalies.

G. Customers are solely responsible for the correctness of any information promoted via their projects and are also solely responsible for the description, pricing, and selling and delivery of their products, ideas and services via DebyutDay. DebutDay offers Customers the facility to integrate with PayPal, but DebutDay is not responsible whatsoever for the correct function or otherwise of the PayPal service. DebutDay offers Customers the facility to link to a third-party website, but DebutDay is not responsible whatsoever for the content or correct function or otherwise of third-party websites.

3. PROPERTY RIGHTS
DebutDay owns all rights, titles and interests in DebutDay’s trade names, service marks, inventions, copyrights, trade secrets, patents. This agreement does not constitute a license to Customer to use DebutDay’s trade names or service marks. 

4. PRIVACY POILCY
DebutDay respects Customer’s address and email details and to this end will not sell, rent or otherwise any of this data without prior consent from the Customer.

5. APPLICABLE LAW, JURISDICTIONAL MATTERS
These terms are governed by the Law of England and Wales and are subject to the exclusive jurisdiction of the English Courts.

6.GENERAL USE
DebutDay accepts no responsibility for any outcome following the use of this website by the general public.
